Gli adeguati assetti organizzativi e la gestione dei rischi ESG

This paper addresses two main themes. First, it examines the relationship between the internal control systems and ESG risk management in light of the recent regulation on the mandatory implementation of appropriate organizational structures introduced by the new Italian Business Crisis and Insolvency Code. Second, it reviews the academic literature on Enterprise Risk Management, focusing particularly on ESG risks and SMEs, and proposes future research avenues. As a result, the paper suggests that to fully leverage the potential of appropriate structures, it is necessary to go beyond regulatory compliance. Specifically, organizational structures must be designed to allow not only the timely detection of crises but also ESG risk management and the creation of sustainable long-term value, and they must be experienced at every organizational level as an opportunity to evolve the corporate culture.
