The purpose of this paper is to assess whether the new Italian provision on directors’ obligations (Article 2086 of the Civil Code) is consistent with the current Italian economic system and whether other Member States have adopted or are in the process of adopting similar provisions. With regard to the second issue, the paper will focus mainly on how the main EU Member States seek to pursue early restructuring of potentially viable businesses.
